1. Agreement to these terms

These Terms of Service govern your use of clippingagency.ai and the services provided by Lumina, operated by Lumina Clippers. By using this website, booking a call, sending a brief or engaging Lumina for a campaign, you agree to these terms. If you don't agree, please don't use the site or the services.

2. The services

Lumina turns a client source recording into short vertical clips posted natively by a network of independent creators across LinkedIn, TikTok, Instagram Reels, YouTube Shorts and X. Clips are organic posts on real accounts and are not paid advertising. The specific scope of any engagement is set out in the individual agreement or statement of work confirmed with you before a campaign starts.

3. Client responsibilities

You're responsible for providing the source asset and any brand guidelines, and for confirming that you hold the rights needed for Lumina and the creator network to use that content for the campaign. You're also responsible for reviewing and approving clips before they post, and nothing posts without your sign-off.

4. Fees and billing

You pay only for verified views, at a custom CPM per 1,000 verified views, set against your niche and volume and agreed before a campaign starts. There's no retainer, nothing charged per clip and no minimum term unless separately agreed in writing. Views that fail the check aren't billed, and invoicing terms are set out in your individual agreement.

5. Verified views

Every view is checked through platform APIs before it counts toward a campaign. Failed, bot and non-qualifying views are removed and reason-coded before billing, and each billed view is tied back to a clip and a creator so the count is checkable rather than taken on faith.

6. Intellectual property and content

You retain ownership of the source content you provide. Rights in the clips produced, the licences held by creators and whether posts remain live after an engagement ends are set out in your individual agreement and confirmed on the scoping call. You grant Lumina and the creator network the permissions needed to produce and distribute clips for your campaign.

7. Third-party platforms

Distribution depends on third-party platforms, each with its own terms of use. Lumina isn't responsible for changes a platform makes to its features, view counting or policies, and campaign delivery is subject to platform availability.

8. Disclaimers

The services are provided on an as-is and as-available basis. Lumina delivers and bills verified views and reports honestly on reach and pipeline signals, but doesn't guarantee any specific commercial outcome, ranking, revenue or virality. Nothing on this site is legal, financial or investment advice.

9. Limitation of liability

To the fullest extent permitted by law, Lumina and Lumina Clippers will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue, arising from your use of the site or the services. Total liability for any claim relating to a campaign is limited to the amounts you paid for that campaign.

10. Indemnification

You agree to indemnify and hold Lumina and Lumina Clippers harmless from claims arising out of content you provide, your breach of these terms, or your violation of any law or third-party right.

11. Term and termination

These terms apply while you use the site or the services. Either party may end an engagement as set out in the individual agreement. Provisions that by their nature should survive termination, including fees owed, intellectual property, disclaimers and limitation of liability, will survive.

12. Governing law

These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law rules. The courts located in New Mexico will have jurisdiction over any dispute, subject to any binding agreement to arbitrate set out in your individual agreement.

13. Changes to these terms

Lumina may update these terms from time to time. The effective date at the top of this page shows when they were last revised, and continued use of the site or the services after a change means you accept the updated terms.
